Agreement to Terms
By accessing or using the Nandez Interactive website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.
Our Services
Nandez Interactive provides software consulting services including but not limited to digital transformation, web and mobile application development, AI solutions, ERP integration, cloud migration, and infrastructure consulting. The specific scope, deliverables, and terms of any engagement will be defined in a separate statement of work or service agreement.
Client Engagements
All consulting engagements are governed by individual service agreements between Nandez Interactive and the client. These agreements will specify the scope of work, timeline, fees, and other relevant terms. This website and its content do not constitute a binding offer to provide services.
In the event of a conflict between these Terms of Service and an individual service agreement, the service agreement will take precedence.
Intellectual Property
Unless otherwise specified in a service agreement, all work product created during a client engagement is owned by the client upon full payment. This includes source code, designs, documentation, and other deliverables.
The Nandez Interactive name, logo, and website content are our intellectual property and may not be used without our prior written permission. We reserve the right to display completed projects in our portfolio unless the client requests otherwise in writing.
Payment Terms
Payment terms, including rates, schedules, and accepted methods, will be specified in individual service agreements. Unless otherwise agreed:
- Invoices are due within 30 days of receipt.
- Late payments may incur interest at a rate of 1.5% per month.
- Work may be paused on accounts with overdue balances exceeding 60 days.
All fees are quoted in the currency specified in the service agreement. Clients are responsible for any applicable taxes in their jurisdiction.
Warranties and Disclaimers
We will perform our services with reasonable care and skill consistent with industry standards. However:
- We do not guarantee specific business outcomes or results from our services.
- Our website content is provided for informational purposes only and does not constitute professional advice.
- We do not warrant that our website will be uninterrupted, error-free, or free of harmful components.
Limitation of Liability
To the maximum extent permitted under the laws of Trinidad and Tobago:
- Our total liability for any claim arising from our services is limited to the fees paid by the client for the specific engagement giving rise to the claim.
- We are not liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities.
- This limitation applies regardless of the legal theory under which liability is sought.
Indemnification
The client agrees to indemnify and hold harmless Nandez Interactive from any claims, damages, or expenses arising from the client's use of our deliverables, the client's breach of these terms, or the client's violation of any third-party rights.
Termination
Either party may terminate a consulting engagement as specified in the applicable service agreement. In the absence of specific termination terms:
- Either party may terminate with 30 days written notice.
- Upon termination, the client is responsible for payment of all work completed up to the termination date.
- We will deliver all completed and in-progress work product upon receipt of final payment.
Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement. This obligation survives termination of the engagement for a period of 2 years.
Force Majeure
Neither party will be liable for delays or failures in performance resulting from causes beyond their reasonable control, including natural disasters, government actions, internet or infrastructure failures, or pandemics.
Governing Law and Dispute Resolution
These terms are governed by and construed in accordance with the laws of the Republic of Trinidad and Tobago.
Any dispute arising from these terms or our services will first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, it will be submitted to binding arbitration in Trinidad and Tobago, conducted in accordance with the Arbitration Act of Trinidad and Tobago.
Severability
If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Entire Agreement
These terms, together with any applicable service agreement, constitute the entire agreement between the parties regarding the subject matter herein and supersede all prior agreements and understandings.
